CONSTITUTION
- NAME
-
The name of the Club shall be BOARDSAILING CLUB of DURBAN
- FLAGS AND INSIGNIA
- The Club’s Burgee shall be a boardsailor in outline and shall be flown only on craft registered in the club.
- The Clubs Badge shall be a Boardsailor in outline in black and white.
- THE AIMS OF THE CLUB
- To promote the sport of Board Sailing.
- To inform board sailors of the safety and sailing rules applicable to craft using the Durban area.
- To improve the standard of board sailing.
- To provide an environment in the area allocated for the use of board sailors conducive to board sailing.
- To promote and protect our Sailing and Water rights.
- In order to carry out the above aims the club shall:
- Require that new members pay an entry fee.
- RequIre that members pay an annual subscription. This subscription shall be in addition to the entrance fee in the case of new members.
- Require that members at an annual general meeting appoint an executive committee to run the affairs of the Club and control the finances.
The duties of this committee shall be listed under the section headed Duties of The Executive Committee.
- MEMBERSHIP
Shall be open to any individual regardless of sex, religion or ethnic origin.
- Family membership - Husband, wife and children under 18 years of age as at 1st January in the year of membership. Entitled to one vote at meetings.
- Single membership --male or female over 18 years of age. Entitled to one vote at meetings.
- Junior membership--under 18 years of age with no immediate family enjoying membership. Entitled to one vote at meetings.
- Honorary Membership -_ Conferred by the Executive Committee on persons for seivices rendered to the Club, or by any reason of prominence This membership shall be for a specified period.
Entitled to no vote at meetings.
- SADF/Out of Province members. Entited to no vote at meetings.
- Life membership. Entitled to one vote at meetings
- ENTRANCE FEES
- An entrance fee equal to the current year's subscription in the desired class of membership shall be paid by all applicants.
- An entrance fee shall be waived in respect of fully paid up members of the former BAY BOARDSAILING CLUB, NATAL BOARDSAILING CLUB, and DURBAN SURFSAILING CLUB provided that
their subscriptions to BOARDSAILING CLUB OF DURBAN is paid in full within 45 days of the Inaugural General Meeting.
- SUBSCRIPTIONS
- The membership subscription shall be calculated by the Executive and be presented to the Annual General Meeting for approval by the members there present.
- A membership card or other identification token shall be issued upon payment of the full amount due.
- Applicants who have been admitted to Membership during the second half of the Club’s Financial year, shall be required to pay half the annual subscriptions. Life Members excluded.
- APPLICATION FOR MEMBERSHIP
Shall be addressed to the Club, care of it’s Secretary upon an approved application form or reasonable facsimile thereof. The committee will have the right to accept or refuse any applications and shall not be obliged in the event of refusal of such applications for membership to give any reason for such refusal.
- RESIGNATION
Members in good standing giving written notice of resignation one calendar month or more before due date of subscription shall be permitted to rejoin at any time without having to pay another entrance fee.
- DEFAULTING MEMBERS
Any member not paying their subscription within 60 days of being called upon to do so will be noted on the records an a defaulting member and will be required to re-apply for membership and pay another entrance fee when rejoining the Club
- EXPULSION
Any member considered by the majority of the Executive Committee to be detrimental to the Club shall be expelled by the Committee.
- EXECUTIVE COMMITTEE:
- The affairs of the Club shall be conducted by the Executive Committee, which shall Consist of the Commodore, Chairman, Honorary Secretary, Honorary Treasurer and the head of the subsections’ working committees. The Honorary positions will have no vote at Executive Committee level.
- The Executive shall be empowered to form by-laws pertaining to matters of conduct and discipline, these by-laws shall be enforced after being agreed by a majority at an Executive Meeting and posted on the Club notice board for a period of 14 days.
- The Committee shall meet at least once a month.
- Four Committee members or their working committee alternates, present shall constitute a quorum, If a quorum is not formed the meeting shall be reconvened one week thence.
- DUTIES OF THE EXECUTIVE COMMI7TEE.
- The Honorary Secretary shall:
- Attend all Club meetings
- Take minutes at these meetings and distribute them to the Committee members
- Maintain a register of all Club members
- Answer queries from members
- Keep the Club records
- Attend any meeting as directed by the Executive and represent the Club as necessary.
- Maintain a register of all Club equipment and its whereabouts
- Attend to any other business as directed by the Executive
- The Honorary Treasurer shall:
- Open a bank account in the name of the Club
- Deposit therein all monies, cheques and the like received by him
- Pay all amounts due and authorised by the Executive other than petties by cheque
- Receipt all funds received
- Keep proper books of the Club’s financial matters.
- Present the Auditors with all necessary detail to enable the auditor to report to the Annual
General meeting the Financial position of the Club
- Together with either the Commodore or the Chairman sign all properly authorised cheques.
- Attend to any other business as directed by the Executive
- The Commodore shall:
- Represent the Club in any matter after authorisation has been received from the Executive
- Attend to any other business as directed by the Executive
- The Chairman shall:
- Control all meetings of the Club
- Attend to any other business as directed by the Executive
- The heads of the Sub-sections working Committees shall:
- Appoint a Race Officer for that Section
- Maintain reasonable contact with the members using that Section’s facility
- Attend to any other business as directed by the Executive
- ANNUAL GENERAL MEETING:
The Executive shall call the Annual General Meeting. Written notices will be posted not less than 21 days before the meeting to the last knows address of all members in good standing.
- The Club’s year will run from 1st July and the Annual General Meeting will be held within 60 days of 1st July.
- The purpose of the Annual General Meeting shall be
- To confirm the minutes of the previous Annual General Meeting and minutes of any Special General Meetings held during the previous year.
- To receive and consider the audited statement of receipts and payments and the Balance Sheet for financial year ending immediately prior to the calling of the said Annual General Meeting.
- To make amendments of the constitution if notice of such amendments have been advised with the notice of Annual General Meeting.
- To elect members of the Executive in the following order Commodore, Chairman, and the heads of the Sub-sections. Election shall take place by secret ballot
- To appoint Honorary Secretary and Honorary Treasurer
- To elect Honorary Life members.
- The Executive Officer presiding and 25 members entitled to vote shall forms quorum at the Annual General Meeting.
- In the event of there being no quorum the meeting shall be postponed to a date seven days later when it shall be held regardless of the number of Members present
- A SPECIAL GENERAL MEETING
may be called by the Executive of the Club upon a written requisition addressed to the Secretary of the Club arid signed by at least 15 members of the Club,
stating the reason for the Special Meeting.
- The agenda for the Special General Meeting shall only pertain to matters as set out in the written request for the Meeting and no other matters shall be discussed.
- The SpeciaI General Meehng shall be called within 21 days of the receipt of the written request and members shall be given the same
period of notice of a Special General Meeting as set out in 13
- A. quorum at a Special General Meeting shall be the same as at an Annual General Meeting.
- ASSETS
No part or parts of the Assets of the club shall be given to or transferred in any way to any member or members of the Club save that payment in good faith may be made to a member of the Club for
services rendered to the Club or for Goods supplied in the ordinary course of business.
- DISSOLUT!ON
If at any time the Committee of the Club considers that it is desirable for the Club to be dissolved, a Special or Annual General Meeting of the Club shall be convened for that purpose and the Club shall
be dissolved and its Assets dealt with in accordance with Resolutions passed at the said General Meeting.
- THE CONSTITUTION
shall be made available to any member on request
- NON-PROFIT STATUS.
No gains, profits, dividends or nett earnings or any part thereof shall be distributed or inure in any manner whatsoever to the benefit of any Member of the Club or individual
- AFFILIATIONS
The Club shall at all times be affiliated to the Boardsailing Association of South Africa, the Natal Boardsailing Association, the Natal Yachting Association and any other body approved at a General
Meeting and thereafter abide by their rules and regulations

BY-LAWS
- Individual sail boards shall be registered with the Port Captain’s department and conform to an acceptable safety standard
- Registration numbers shall be displayed on the sail and shall be not less than 20cm in height
- Board sailors shall acquaint themselves with the “rule of the road" and shall at no time obstruct shipping
- All board sailors shall comply with any rule or regulation issued by the Port Captain.
- Board sailing shall be restricted to the area within the boundaries formed by a line from the shore at the stranded pontoon to Buoy
M14 of Maydon Wharf No 8; from Buoy M14 to Buoy 18 to Buoy
22; from Buoy 22 east to the shore.
- This area of water and adjoining land shall be kept clean and tidy at all times.
- The area of water will not be for the exclusive use of board sailors and the rights of others and safety of all must be considered and practised at all times
- Any organised events must first have the prior consent of the Port Captain.
